SiteGround AI Studio Terms

These SiteGround AI Studio Terms (“Terms”) govern your use of the SiteGround AI Studio provided by SiteGround Hosting Ltd., a company registered in England and Wales (company number: 09348602), with registered address: 7th Floor, 50 Broadway, SW1H 0DB, London, United Kingdom (“SiteGround”) and are effective as of the date of: (i) your use of the SiteGround AI Studio, as defined in Section 1.1 below; or (ii) your electronic acceptance of these Terms (“Effective Date”).

The terms “you”, “your” or “Customer” shall refer to an entity or a person, who accepts these Terms, has access to and/or uses a SiteGround AI Studio. 

By ordering and/or using SiteGround AI Studio (referred to as the “AI Studio” or the “AI Studio Service”) and/or any of its functionalities, you declare that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms you must not use the AI Studio. These Terms are an integral part of the SiteGround Terms of Service (“TOS”) and together with the terms hereby incorporated by reference, represent the entire agreement (“Agreement”) between you and SiteGround in regard to your use of the AI Studio or any of its functionalities. In case of any discrepancies between the provisions of the TOS and these Terms, these Terms shall prevail with respect to any AI Studio-related matters. For matters, incl. capitalized terms, not explicitly specified herein, the provisions of the TOS shall apply. 

1. Scope

1.1. The Service within the scope of these Terms is SiteGround AI Studio, which enables you to use artificial intelligence (AI)-powered features and tools that assist you in creating digital content in the form of text, images, or other media; or performing any other types of tasks. The AI Studio Service, or certain of its features, may also be made available as part of other SiteGround Services, in which case these Terms shall also apply and shall prevail over any Service-specific terms with respect to any AI Studio-related matters.  

1.2. Further details regarding the AI Studio service specifications may be found on SiteGround website.

2. Use of the AI Studio. Representations and Warranties

You represent and warrant that:

  1. You are at least 18 years old, have the legal capacity to enter into an agreement with SiteGround and are not barred from using the AI Studio Service under the laws and sanctions lists of the applicable jurisdictions;

  2. You are not a public sector entity, including, without limitation, any federal, state, or local government body, an entity directly or indirectly controlled by and/or having a public participation by such a public sector entity, or a federally regulated entity;

  3. You are solely responsible for ensuring that your use of the AI Studio, including any Inputs and Outputs (as defined below), comply with all applicable laws, regulations, third-party rights, and the Agreement;

  4. You will not use the AI Studio (including any Inputs and Outputs):

    1. For any prohibited AI practices according to Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 laying down harmonised rules on artificial intelligence (“Regulation (EU) 2024/1689”), or equivalent laws, including without limitation to create facial-recognition databases through the untargeted scraping of facial images from the Internet or CCTV footage; to exploit vulnerable groups (such as children, elderly persons, or minorities); to materially distort their behaviour in a way that is reasonably likely to cause significant harm; to enable emotional recognition in workplaces or educational institutions; to categorise people based on biometric data; to infer race, political opinions, trade union membership, religious or philosophical beliefs, sex life, or orientation; to facilitate “real-time” biometric identification systems in publicly accessible spaces for law enforcement purposes, as well as for any other prohibited AI practice.

    2. In a manner that may convert the AI Studio Service into high-risk AI systems according to Regulation (EU) 2024/1689, or equivalent laws;

    3. For any healthcare purposes, including but not limited to any medical and clinical actions such as healthcare decisions, medical diagnosis, patient care, prescribing medicines, therapy, wellness advice or other medical guidance;

  5. Your Inputs are true and accurate and you own or hold all necessary licenses, rights, consents, approvals, and permissions to provide these Inputs (including any information, personal data and documentation therein) to the AI Studio and to share such Inputs with SiteGround and third parties, without infringing any copyrights, trademarks, privacy, publicity, or other rights of any third party;

  6. You will not submit Inputs that are illegal, harmful, deceptive, infringing, offensive or designed to generate illegal or harmful content;

  7. You are aware: 

    1. Of the nature of the machine learning technology behind the AI Studio and assume all risks associated with its use, including any reliance on or use of Outputs;

    2. That Outputs, including factual assertions in Outputs, may be inaccurate, inappropriate, incomplete, misleading, biased, or not fit for your intended purpose. They may not reflect recent events or information and should not be used and/or relied upon as professional, legal, financial, medical, or business advice. Furthermore, Outputs may not be unique and may be similar or identical to Outputs generated for other users of the AI Studio or other generative AI tools. You shall not claim that any Output is exclusively created or dedicated to your use case or purpose;

    3. You are solely responsible for reviewing and independently evaluating the Outputs before publishing, distributing, displaying, sharing or otherwise using such Outputs, including without limitation to verify their accuracy, reliability and appropriateness for your use case through human review and/or consultation with competent professionals, as appropriate. You are solely responsible for any actions taken based on Outputs;

  8. You own or hold all necessary rights, consents, approvals, and permissions to publish, distribute, display or otherwise use Outputs, including on social media platforms. Outputs may incorporate or resemble materials subject to third-party rights or may otherwise infringe applicable laws. It is your sole responsibility to review, verify, and ensure that any use of the Outputs complies with all applicable laws and does not infringe any third-party rights;

  9. When using Outputs, irrespective of their form, you shall clearly and prominently disclose, where applicable or legally required, that the content has been generated or manipulated by AI;

  10. You will not circumvent, bypass, or otherwise work around any technical limitations of the AI Studio and/or Third-Party Services integrated with them. This includes, without limitation, using prompts to discover training data, and/or any method to enable features or functionalities that are disabled or restricted within the AI Studio, or attempting to copy, reproduce, resell, distribute, reverse engineer, or otherwise access the underlying code, models, or data of the AI Studio and/or any or all of its functionalities.

3. Tokens for AI Studio 

Any or all of AI Studio features and/or functionalities may require you to spend tokens (“Tokens”) in order to access and/or use them. Tokens may be included within an AI Studio plan, purchased separately, or granted by SiteGround at no charge. The AI Studio Service includes a specific number of Tokens allocated per month. Such Tokens are reset each month, and any unused Tokens in the preceding month do not carry over to the following monthly period or accumulate in any way. You may review the current amount of available Tokens and the scheduled reset date at any time in the Client Area and/or in the AI Studio’s interface. Tokens are non-transferable, non-refundable and non-redeemable for cash or any other value. They do not constitute deposits or financial instruments of any kind. Information about the Tokens will be made available on SiteGround website, including on the following web page: https://www.siteground.com/kb/siteground-ai-studio-token-usage.

4. Upgrade of the AI Studio Service

4.1. You may choose to upgrade an AI Studio Service (including by ordering an additional number of Tokens) at any time. All available upgrade options are listed in the Client Area and/or in the AI Studio’s interface, and are subject to the fees set out on the respective AI Studio Service page (“Upgrade Fees”). Once you pay the Upgrade Fees and your upgrade Order is approved, you will be provided with the upgraded AI Studio for the period set out in the upgrade Order. You may not downgrade the number of the additional tokens ordered to your paid AI Studio plan. Once you have ordered additional tokens, you can cancel this Order, only together with cancellation of your paid AI Studio Service. Upon such cancellation, the free AI Studio Service will remain available until terminated in accordance with the Agreement.

4.2. If you choose to order additional Tokens, subject to availability, during the term of an AI Studio Service, the additional Tokens will be made available until the end of the then-current term of that AI Studio Service.

4.3. SiteGround will attempt to charge you for renewal of the upgraded AI Studio Service for which automatic renewal is enabled at the then-current renewal fees. 

5. Money Back Policy

Fees paid under an initial, renewal and/or upgrade AI Studio Service Order are eligible for refund only if:

   i. you have NOT used the respective AI Studio Service after the payment is made; and

  ii. the cancellation of the respective AI Studio Service is requested in less than 30 days from the date on which payment(s) of an initial, renewal and/or upgrade Оrder was made. 

6. AI Studio Guarantee

The AI Studio is provided on an “as is” and “as available” basis, and SiteGround expressly disclaims all warranties, representations, conditions, and liabilities of any kind, whether express, implied, statutory, or otherwise, in relation to the AI Studio. 

You further acknowledge and agree that the Warranties and Limitation of Liability provisions set out in Sections 18 and 19 of the TOS apply fully and without limitation to the AI Studio. Any compensation that may be due under Section 19 of the TOS may be provided in the form of Tokens rather than a monetary payment. Accordingly, without limiting the generality of the foregoing, you expressly acknowledge and agree that: 

(i) SiteGround does not provide, and you shall not be entitled to, any compensation, remedy, or liability arising out of or in connection with your use of the AI Studio or any Output, including without limitation any non-compliance with any applicable laws, regulations, or legal requirements, or any actual or alleged infringement of any third-party rights. SiteGround does not warrant or represent that the AI Studio will enable, ensure, or support compliance with any specific legal, regulatory, or business requirements; and

(ii) You are solely and fully responsible for reviewing, verifying, and ensuring the suitability and legality of all Outputs prior to their use or reliance. 

7. Scope of Technical Support

In addition to the out-of-scope issues described in Section 14.5 of the TOS, any requests or inquiries related to Outputs generated by the AI Studio (including, without limitation, cases where an Output does not meet your expectations as to its functionality, performance, design, integration, compatibility, accuracy, suitability, or intended use) are expressly outside the scope of the AI Studio and the related free technical support provided by SiteGround. 

8. Inputs and Outputs. Intellectual Property Rights

8.1. The AI Studio may allow you to submit prompts, data, requests or other information in different forms, such as text, images, or other media (collectively, your “Input”), to direct the AI Studio to generate content (the “Output”). The AI Studio may, however, decline to generate Оutputs where the Inputs violate the Agreement and/or any applicable Third-Party AI Services Terms. 

8.2. Outputs may be unpredictable and may contain inaccuracies, errors, or content that is misleading, biased, or otherwise unsuitable for your purposes. SiteGround makes no representation or warranty that Outputs will meet your expectations, be accurate, complete, lawful, non-infringing, unbiased, unique, original, or appropriate for any particular purpose. Outputs may, in certain cases, include or resemble third-party materials, data, or other content that is protected by intellectual property or other proprietary rights. Such inclusion is outside of SiteGround’s control and SiteGround has no knowledge of, and assumes no responsibility for, any third-party rights that may exist in the Outputs. Accordingly, you are solely responsible for: 

  1. reviewing, verifying, testing, and evaluating all Outputs prior to any use, publication, display, distribution, or implementation;

  2. еnsuring that your use of any Output does not infringe or misappropriate any third-party intellectual property or proprietary rights; and

  3. obtaining all necessary rights, licenses, consents, approvals, or permissions from third parties before using, publishing, displaying, deploying or sharing any Output in any manner. 

Outputs are provided as suggestions only and do not reflect the views, opinions, or positions of SiteGround. You must exercise your own independent judgement in determining whether to rely on, use, or modify any Output. SiteGround shall have no liability whatsoever for any claims, damages, or losses arising from or in connection with your use of the Outputs or any alleged infringement resulting therefrom.

8.3. As between you and SiteGround and subject to any third-party rights, both your Inputs and Outputs are considered “Customer Content” under the TOS, respectively - all provisions applicable to Customer Content shall apply, to the extent permitted by law. 

8.4. To the extent necessary under the applicable law, you grant SiteGround a limited, non-exclusive, transferable, sublicensable, royalty-free, worldwide license to (a) access, copy, process, reproduce, modify, distribute, display and otherwise use your Input and Output for the purposes of providing the AI Studio Service, improving SiteGround Services, ensuring compliance with applicable law and enforcing legal rights and obligations; (b) provide your Input and Output to Third-Party AI Service Providers and/or subcontractors, as required to operate and deliver the AI Studio Service; and (c) use your name, trademark(s) and logo(s) for the limited purpose of identifying you as a customer on SiteGround’s websites, social media accounts and marketing materials. 

8.5. Certain intellectual property assets, including but not limited to fonts, images, and other content made available to you as part of or in connection with the AI Studio, may be subject to additional licence terms established by third parties. Information regarding certain third-party licences will be available on SiteGround website. By accessing and/or using any such assets, you agree to comply with all applicable third-party license terms. 

9. Third-Party AI Service Providers

9.1. The AI Studio may incorporate or rely on certain third-party technologies, models, or services (collectively “Third-Party AI Services”). These Third-Party AI Services form part of the AI Studio but are operated by their respective providers (“Third-Party AI Service Providers”). Your access to and use of the AI Studio, including any integrated Third-Party AI Services, is governed by the Agreement and by the applicable terms, policies, and guidelines of those Third-Party AI Service Providers, as updated from time to time, and as described on SiteGround website, including but not limited on the following web page: https://siteground.com/viewtos/third_party_ai_services_terms?scid=2&lang=en_GB (“Third-Party AI Services Terms”). Third-Party AI Services Terms may include, among other provisions, specific restrictions on the use cases, purposes, or content generated through such Third-Party AI Service. By accessing and/or using the AI Studio, you acknowledge and agree that you have read, understood, and will comply with all applicable Third-Party AI Services Terms. 

9.2. You are responsible for all interactions with any such Third-Party AI Service Providers. SiteGround does not provide any warranties or make any representations to you with respect to your access and/or use of any Third-Party AI Services. Your use of such Third-Party AI Services is at your own risk. In case of a dispute between you and a Third-Party AI Service Provider, SiteGround is under no obligation to participate or assist in its resolution. 

9.3. You are responsible for any damages, claims, liabilities, losses and other expenses that may arise for SiteGround from the suspension or termination of any Third-Party AI Service due to your violation of the Third-Party AI Services Terms.

9.4. SiteGround reserves the right to suspend and/or discontinue the integration, availability, and/or use of any Third-Party AI Service, as well as to incorporate new Third-Party AI Service, at any time, without prior notice and without bearing any liability.

10. Processing of Personal Data

10.1. You acknowledge and agree that any Input you provide through the AI Studio may be transmitted to, and processed by Third-Party AI Service Providers in connection with the provision of the AI Studio. For detailed information on the categories of recipients and the purposes of such data processing, please refer to Section V of SiteGround Privacy Policy, Section 3 of SiteGround Data Processing Agreement and the Third-Party AI Services Terms. 

10.2. You further acknowledge and agree that it is your sole responsibility not to submit, upload, transmit, or otherwise make available any personal data in your Input unless you have obtained all consents, permissions, or authorizations, if such are required under applicable law for such disclosure and processing. You further acknowledge that SiteGround has no control over, and assumes no responsibility for, any personal data included in your Input. For the purposes of SiteGround Data Processing Agreement, any personal data in your Customer Content shall fall within the definition of “Customer Data”.  

10.3. You expressly acknowledge that SiteGround shall not be liable for any loss, damage, or claims arising from your submission of personal data in your Input, including any breach of data protection laws. 

10.4. By providing any Input containing personal data, you expressly confirm that:

(i) you have obtained the consents, permissions, and authorizations from the relevant data subjects to disclose and process their personal data in connection with the AI Studio, if such are required under the applicable law;

(ii) you will maintain records of such consents and provide them to SiteGround upon request; and 

(iii) you will comply with all applicable data protection and privacy laws in relation to such personal data. 

10.5. If any Outputs contain any personal data as a result of your Inputs or otherwise, you expressly confirm that you will comply with all applicable data protection and privacy laws in relation to the processing of such personal data. You shall indemnify and hold SiteGround harmless against any claims, damages, or liabilities arising from your failure to comply with this clause.

10.6. You further acknowledge and agree that Outputs may contain links, references, or content provided by third parties, and that interacting with such links may result in the transfer of personal data to such third parties. It is your sole responsibility to: 

  1. Review and, if necessary, amend Outputs before use;

  2. Determine whether any personal data is being transferred to third parties; and 

  3. Make any disclosures, obtain any consents, or take any other actions necessary under applicable law with respect to such transfers. 

You expressly acknowledge that SiteGround has no control over any third-party content or links included in Outputs, and SiteGround shall have no liability for any personal data transfer or processing by third parties arising from such content or links. 

11. Content Backup

SiteGround may provide you with the stored backup data of your Customer Content upon request and subject to availability. SiteGround may require an additional fee for the backup service which will be communicated with you in advance. 

12. AI Studio Suspension and Termination 

12.1. Without prejudice to the grounds for restriction, suspension and termination laid down in other clauses of these Terms and the TOS, SiteGround shall, at its discretion, be allowed to restrict, suspend, and/or discontinue the provision of the AI Studio and/or terminate the Agreement immediately without notice and refund, to the extent permitted by applicable laws, if:

12.1.1. your use of the AI Studio violates any of the requirements set out in the Agreement and/or Third-Party AI Services Terms;

12.1.2. you violate or cause SiteGround to violate any applicable laws and/or guidelines/instructions of the competent authorities and/or of the Third-Party AI Service Providers.

12.2. On the grounds described in the Agreement, SiteGround may suspend your access to the AI Studio (or any of its functionalities, tools, etc.), and/or terminate this Agreement and your Customer Account. 

12.3. You may terminate a paid AI Studio Service at any time. SiteGround will retain the prepaid fees for the remainder of the AI Studio Service Term as an early termination penalty, unless otherwise described in the Money Back Policy set out in Section 5 of these Terms. After the paid AI Studio Service termination your free AI Studio Service will remain available until SiteGround ceases to provide the free AI Studio Service to you, or the free AI Studio Service is otherwise terminated in accordance with the Agreement. You acknowledge and agree that SiteGround may modify, terminate or make the free AI Studio Service paid at any time during the Term. In case SiteGround makes the free AI Studio Service paid, SiteGround will discontinue the provision of the free AI Studio Service to you, until we receive payment of the fee due.

12.4. Unless otherwise described on SiteGround website, the content stored in the AI Studio account will be permanently deleted the later of (a) twelve months from the termination of the AI Studio Service; or (b) twelve months after your last Token usage. Unless otherwise described on SiteGround website, any AI Studio chats or files you delete through the interface may be retained by SiteGround for up to 30 days before being permanently deleted.  

12.5. Sections 2, 5, 6, 8, 9, 10 and 12 of these Terms shall survive the termination of the Agreement.

13. Translation

These Terms are executed in the English language. Any provided translations are for convenience only, and in the event of a conflict between the English and translated versions, the English version will govern and prevail to the extent permitted by law.
